Terms of Service

Agreement

These Terms of Service ("Terms") govern your access to and use of Flywheel’s websites, platform, and related services (collectively, the "Service"). By using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

Accounts and access

You must provide accurate account information, protect your credentials, and promptly notify us of unauthorized access. You are responsible for activity under your account and for ensuring that your users follow these Terms. You may use the Service only if you can legally enter into this agreement.

Acceptable use

You may not use the Service to:

  • Violate applicable law, third-party rights, or the rules of a connected service.
  • Send unlawful, deceptive, abusive, or unsolicited communications.
  • Access data without authorization or attempt to bypass security or usage limits.
  • Introduce malware, disrupt the Service, or probe systems without permission.
  • Reverse engineer or copy the Service except where applicable law expressly permits it.
  • Use the Service or its outputs to make high-impact decisions without appropriate human review.

Customer data and connected services

You retain your rights in data you submit to or connect with the Service ("Customer Data"). You grant Flywheel the limited rights necessary to host, process, transmit, and display Customer Data to provide, secure, and improve the Service. You represent that you have all rights and permissions necessary for Flywheel to process Customer Data as instructed by you.

The Service may interoperate with third-party products such as Google and Nylas. Your use of those products is also governed by their terms. Flywheel is not responsible for third-party products, changes to their services, or loss caused by credentials, permissions, or access that you control.

AI-assisted features

Some features use probabilistic models and may produce incomplete, inaccurate, or inappropriate output. You are responsible for reviewing outputs, configuring automation appropriately, and deciding whether and how to act on a recommendation. Flywheel does not guarantee any business, revenue, or campaign outcome.

Beta services

Features identified as beta, preview, early access, or evaluation may change or be discontinued at any time and may be less reliable than generally available features. They are provided for testing and feedback and may be subject to additional terms.

Fees

If you purchase a paid plan, fees, billing terms, usage limits, and renewal terms are set out in the applicable order form or checkout flow. Except where required by law or expressly stated otherwise, fees are non-refundable and taxes are your responsibility.

Ownership and feedback

Flywheel and its licensors own the Service, including its software, design, and documentation. These Terms do not transfer ownership of the Service or Customer Data. If you provide feedback, you allow us to use it without restriction or obligation to you.

Confidentiality

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and use it only to perform under these Terms, except where disclosure is authorized or legally required.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay amounts due, or if continued operation is no longer commercially practical. Where reasonable, we will provide notice and an opportunity to cure.

Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Flywheel disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet every requirement.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity. Flywheel’s aggregate liability arising from the Service will not exceed the fees you paid to Flywheel for the Service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars if you have not paid any fees.

Changes

We may update these Terms as the Service evolves. We will post the updated Terms and revise the “Last updated” date. Material changes will take effect after reasonable notice where required. Continued use after the effective date constitutes acceptance of the updated Terms.
